“In the calculation of Commissions based on Net Revenue, when Affiliate’s Customers activities result in a negative balance for the Affiliate, due to the customer winnings and/or paid bonuses and/ or other customer incentives, the balance will be carried over to the next month, unless the deal has been adjusted and approved to a no negative carryover Reward Plan. In this last case, any negative Net Revenue will be set to zero at the beginning of each month.

No Negative Carryover reward plan applies ‘three strikes policy’. Negative Carryover is waived of the 1st and 2nd calendar month within 12 month period when a negative balance occurs. When Affiliate’s customers activities result in a negative result 3rd calendar month in 12 months, Negative Carryover is applied and forced. After a such event and applying negative carryover, 12 month period is reset and No Negative Carryover Three­strikes rule apply.

Negative carryover is not intended to be applied to any deal retroactively and will be part of the standard Reward Plan. A negative balance due to Fraud costs will however be carried over whenever applicable.”

Affiliates should be aware of the following term:

“7.2 The contracting parties hereby agree that upon the termination of this agreement:

a) The affiliate must remove all references to the company and/or its brands (including brands of its subsidiary companies) and/or the company websites from the affiliate’s websites and/or other marketing channel and communications, irrespectively of whether the communications are commercial or non­commercial.”

This term effectively grants the affiliate program the right to censor anything you may publish on your site, whether factually accurate or not if they decide to terminate the affiliate agreement. This is extremely detrimental to any affiliate who engages in reviewing activity.

Conclusion

Where players are concerned we have no problems with SpinJuju.

And for the most part their affiliate program raises no problems other than the inclusion of Negative Carry Over and this is something that each affiliate has to decide whether they’re prepared to work with. However with one term they put us in a position where we will not work with them. Their gagging clause. There’s no good reason to carry this type of term. Of course commercial content has to be removed when the relationship is terminated. But factually inaccurate non-commercial content is already covered by libel laws. There’s no need to include a term like this for inaccurate material. As such the only reason to include this term is to force the removal of factually accurate content that the operator simply does not want you to share. For any affiliate that has any stake in ensuring player trust this term is extremely problematic.
